1. Agreement to these terms
By accessing tgjofenterprise.kodiipay.com or using any service, product or content of TGJOF ENTERPRISE ("we", "us", "our"), you agree to these Terms of Service. If you do not agree, please do not use the site or our products.
2. About us
TGJOF ENTERPRISE is a registered software, digital and electronics business in Kenya. We provide software engineering services (mobile apps, desktop applications, websites, digital staff, backend and infrastructure) and develop our own products, including KodiiPay (https://www.kodiipay.com).
3. Our services
Detailed scope, deliverables, timelines and fees for specific services are agreed in a written proposal or agreement between you and us before work begins. General descriptions on this website are informational and are not a binding specification. Where our products include payment features, money movement is governed by the applicable payment-term agreement with that product and by the rules of the regulated payment channels used.
4. Your responsibilities
You agree to: provide accurate information when engaging us; ensure you have the legal right to use any content, data or assets you provide; comply with all applicable laws when using our website and products; and not misuse, attempt to break, or interfere with our systems, or use them to commit fraud. Money you expect to move through our products must be lawfully yours.
5. Fees and payment
Fees for services and products are set out in the relevant proposal, pricing page or agreement. Unless otherwise stated, fees are exclusive of taxes, which are charged as applicable by law. Late or unpaid invoices may result in suspension of work or access until resolved.
6. Intellectual property
All content on this website — text, graphics, logos, and software — is owned by us or our licensors and is protected by intellectual property laws. You may not copy, reproduce or reuse it without permission. IP ownership for custom work built for you is specified in your individual agreement (our standard position is that you own the code and data we build for you).
7. Acceptable use
You must not use our website or products to engage in unlawful activity, to distribute malware, to infringe others' rights, or to attempt to gain unauthorised access to our systems or users' accounts. We may suspend or terminate access for violations at our discretion.
8. Disclaimers
The website and our products are provided 'as is' and 'as available' without warranties of any kind, whether express or implied, to the maximum extent permitted by law. While we use care and follow industry best practices, we do not warrant that the services will be uninterrupted, error-free, or free of harmful components. Payments facilitated through third-party channels are subject to the availability and rules of those channels.
9. Limitation of liability
To the maximum extent permitted by law, our total liability arising out of or relating to your use of this website or our products shall not exceed the amount you paid to us in the three months preceding the claim or KES 100,000, whichever is greater. We are not liable for indirect, consequential, incidental or special damages, or for lost profits or revenue. Nothing in these terms limits liability that cannot lawfully be limited.
10. Indemnity
You agree to indemnify and hold us harmless from claims, damages and expenses (including reasonable legal fees) arising from your breach of these terms, your misuse of the website or products, or your violation of any law or third-party rights.
11. Third-party services
Our products integrate third-party services such as M-Pesa, banks and analytics providers. Their terms and privacy policies apply to your use of those services, and we are not liable for their performance or failures. Withdrawal, transfer and refund timelines may depend on those third parties.
12. Refunds and disputes
Refund eligibility for our products depends on the type of transaction and is handled per the applicable product terms. Service refunds, where applicable, are at our reasonable discretion and will be documented in your agreement. If you believe money moved incorrectly through one of our products, contact us promptly and we will investigate the transaction thoroughly.
13. Changes to these terms
We may update these Terms from time to time. Material changes will be posted here with an updated date. Continued use of the website or products after changes constitutes acceptance of the revised terms.
14. Governing law
These Terms are governed by the laws of the Republic of Kenya. Disputes shall first be raised with us at the contact details below, and if unresolved, submitted to the courts of Kenya.
